Terms & conditions
The standard terms and conditions for coating work performed by TSP Coatings.
These terms apply to coating work performed by TSP Coatings. They are written for our Ontario, Canada operations and are governed by the laws of the Province of Ontario.
1. Scope control
Work is limited to the scope described in the accepted proposal or quote. Anything not expressly included is excluded.
2. Change orders
Additional or altered work requires a written change order with associated pricing and schedule adjustments, approved before we proceed.
3. Hidden conditions
Conditions not visible or reasonably determinable at assessment — concealed corrosion, substrate damage, moisture, prior repairs — may require additional work priced as a change order.
4. Rust and corrosion limitations
Coatings mitigate and slow corrosion; they do not reverse structural loss. We do not warrant the integrity of corroded substrates.
5. Existing coating failure
Where coatings are applied over existing systems, adhesion depends on the existing coating's condition and compatibility, which cannot be fully verified; related failures are excluded.
6. Access and shutdown
You provide safe, timely access, including roof access, escorts, keys, and coordinated equipment shutdown windows. Delays in access may affect schedule and cost.
7. Weather delays
Exterior and temperature- or humidity-sensitive work may be delayed by conditions outside coating application limits, without penalty to us.
8. Surface preparation limitations
Preparation is performed to the standard appropriate for the substrate and access. Areas that cannot be fully prepared are noted and excluded from warranty.
9. Moisture and cure conditions
Application requires acceptable temperature, humidity, dew point, and substrate conditions. Return-to-service times depend on cure conditions and are estimates.
10. Customer-provided information
We rely on information you provide (drawings, prior work, service conditions). Inaccurate information may affect results and is not our responsibility.
11. Site safety
We follow our safety program; you are responsible for site-specific hazards, coordination with other trades, and disclosure of known hazards.
12. Permits, access, and lifts
Unless stated, permits, elevated-work platforms, and special access are priced separately and coordinated with you.
13. Payment terms
A 50% deposit is due to schedule; the balance is due Net 15 from invoice. Progress billing may apply on larger projects.
14. Late payments
Overdue accounts accrue interest at 1.5% per month (18% per annum) and may result in suspension of work and warranty.
15. Warranty limits
Warranty is governed by the TSP Coatings Limited Coating Warranty; remedies are limited as stated there.
16. Liability limits
We are not liable for indirect, incidental, or consequential damages. Total liability shall not exceed the value of the work performed.
17. Product substitutions
Where a specified product is unavailable, we may substitute a comparable project-appropriate product under manufacturer guidance, with notice to you.
18. Photos and documentation
We document work with photos and logs and may use non-confidential before/after images for portfolio purposes unless you request otherwise in writing.
19. Acceptance
Signing the proposal or quote, issuing a deposit, or authorizing work constitutes acceptance of these terms.
